1. Acceptance of Terms
You must be at least 18 years old and able to form legally binding contracts to use the Online Services. Your access or use of the Online Services, or your execution or acceptance of a service agreement with Source Logistics, constitutes your acceptance of this Agreement. If you do not agree with any part of this Agreement, you must stop using the Online Services and not engage in business with Source Logistics.
2. Scope and Use of Online Services
Source Logistics grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Online Services solely for your internal business purposes. You agree not to reproduce, modify, distribute, or otherwise exploit content from the Online Services without our prior written consent.
3. User Accounts and Security
Certain Online Services may require you to create an account and provide accurate and complete information. You are responsible for safeguarding your account credentials and for all activity under your account. You must notify Source Logistics immediately of any unauthorized use.
4. Intellectual Property
All content, trademarks, service marks, logos, graphics, and software provided through the Online Services are owned by or licensed to Source Logistics and are protected by intellectual property laws. Nothing in this Agreement grants you any rights in the intellectual property.
5. Customer Service & Logistics Services
If you engage Source Logistics for logistics services (e.g., warehousing, transportation, distribution, cross-border support), the terms of your specific service agreement or statement of work will govern the scope, pricing, obligations, and liabilities related to those services. Standard terms may include definitions of service levels, responsibilities, claims handling, insurance requirements, liability limits, and other conditions typical of third-party logistics agreements.
6. Fees and Payments
Any fees for Online Services or logistics services will be set forth in a separate agreement, invoice, or contract between you and Source Logistics. Unless otherwise agreed, all amounts are due within the payment terms specified, and nonpayment may result in suspension of services.
7. Disclaimer of Warranties
THE ONLINE SERVICES AND ANY SERVICES PROVIDED HEREUNDER ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Source Logistics does not guarantee continuous, uninterrupted, or error-free access.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SOURCE LOGISTICS AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM USE OF THE ONLINE SERVICES OR OTHERWISE RELATED TO THIS AGREEMENT OR LOGISTICS SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Indemnification
You agree to indemnify, defend, and hold harmless Source Logistics, its officers, directors, employees, agents, and partners from any claims, liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) arising out of your breach of this Agreement, use of the Online Services, or engagement of logistics services.
10. Governing Law
This Agreement and any claims arising from or related to it will be governed by the laws of the State of Texas, without regard to its conflict of laws principles.
11. Dispute Resolution
Except as otherwise expressly stated in a separate service agreement, any dispute between you and Source Logistics arising out of this Agreement will be resolved through binding arbitration in accordance with the arbitration rules of a mutually agreed arbitration provider.
12. Modifications
Source Logistics may modify this Agreement at any time in its sole discretion by posting the updated version on the Online Services with a revised effective date. Your continued use of the Online Services or acceptance of logistics services after such changes indicates your agreement to the revised terms.
